Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website, products, and services provided by MIM International LLC (“SeventySeven,” “we,” “our,” or “us”). By using our services, you agree to these Terms. If you do not agree, please do not use our services.

1. Who We Work With

Our services are intended for agencies, consultants, and coaches generating at least $10,000 USD in monthly revenue, located in the United States. We do not market to or knowingly contract with individuals or businesses outside the United States unless agreed in writing.

2. Services We Provide

SeventySeven offers revenue stabilization services, including the “Revenue Floor” guarantee, marketing systems implementation, and consulting. Full details of our services are available on our website.

3. Revenue Floor Guarantee & Protection Fund

If you purchase our Revenue Floor OS service, we will calculate your “Revenue Floor” based on your best month from the past six months. If, during the guarantee period, your actual monthly revenue drops below your Revenue Floor, we will pay you the difference, subject to:

• Completion of all required implementation steps and cooperation with our team
• Accurate and timely submission of financial documentation
• Compliance with our recommended systems and processes
• Payments are made from our Protection Fund and are limited to the balance available in that fund at the time of claim

4. Payment Terms

Fees for our services are stated in your proposal or invoice. Payment is due as agreed in your contract. Late payments may result in suspension of services and termination of any active guarantees.

5. No Legal or Financial Advice

Our services are for business optimization and revenue stabilization. We do not provide legal, tax, or investment advice, and any examples of revenue growth or stability are for illustrative purposes only.

6. Intellectual Property

All content, systems, and materials we provide are owned by SeventySeven unless otherwise stated. You are granted a limited, non-exclusive, non-transferable license to use these materials for your own business. You may not copy, resell, or distribute them without our written permission.

7. Confidentiality

We agree to keep your confidential information private, and you agree to do the same with ours. This includes, but is not limited to, business data, client lists, and proprietary systems.

8. Limitation of Liability

To the fullest extent permitted by law, SeventySeven will not be liable for any indirect, incidental, special, or consequential damages, including lost profits, arising from your use of our services. Our total liability for any claim is limited to the amount you paid us in the 3 months prior to the claim.

9. Termination

Either party may terminate the agreement with written notice. If you terminate early, any fees paid are non-refundable unless otherwise specified in your contract.

10. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date will indicate the latest version. Continued use of our services after changes means you accept the new Terms.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflicts of laws rules. Any disputes will be resolved in the state or federal courts located in Sheridan County, Wyoming.
